Phalanx Referral Program Terms

Participation in this Referral Program (“Program”) constitutes your agreement to and acceptance of these Official Terms. By participating in the Sweepstakes, you are providing your consent and agreement to receive emails from Phalanx AI, Inc, (“Phalanx”).

‍Access the Program through the phalanx.io website or within your Phalanx SendTurtle app. On the program page, you can refer friends by adding their email addresses, copying a link to share on your own, or posting on your choice of social networks.

The term “Referral” is used for any of your friends who join app.sendturtle.com through your referral link. The term “Referrer” is used for the Phalanx user who refers friends using the Referral Program. 

The Referral Program allows you to share the referral link with your connections via email and social channels. You agree to use the Referral Program only with personal friends and not publish a referral, or cause it to be published or distributed, on or via methods, platforms, and media where you have no reasonable basis for believing that all or most of the readers or recipients are not your personal friends (such as coupon websites, Reddit, etc.). You will not create, publish, generate or solicit, under any circumstances, any bulk electronic mail messages (also known as “SPAM”). Doing so can result in Phalanx disabling your referral link and removing you from the Program.

You also agree to comply with all applicable laws, guidelines, and regulations, including but not limited to regulations regarding electronic messaging and anti-spam and privacy laws.

If you use the referral system through Phalanx to invite a friend through email, they will receive an email letting them know that you referred them, along with an invitation to join Phalanx. You are advised to obtain consent from your Referrals prior to referring them.

1. Eligible users

This Referral Program is open to registered Phalanx users only. Phalanx reserves the right to withdraw or suspend this Referral Program (in whole or in part) at any time. These Program requirements and incentives are subject to change at any time.

2. Earning, receiving, and redeeming Phalanx Credits

Each successful Referral will earn the Referrer $15 in Phalanx Credits (“Credits”) to go toward their Phalanx subscription. These Credits will be issued through Stripe and added on a monthly cadence, day 30 of each month or closest business day. These Credits may be used or combined with any other promotion or coupon. 

The term “Qualifying Purchase” is defined as a successfully delivered and completed Phalanx Pro plan by the Referral. The Qualifying Purchase must be made with an external payment method (i.e. not with Phalanx Credits).

Referrer Credits may be used on their next order purchase. Phalanx Credits will be made available to the Referrer following a clearance period of up to 30 days after the Referral’s first Qualifying Purchase and are valid for 3 months.

3. Referrals referred by multiple users (Referrers)

If your Referral was also referred by another user (Referrer), you will earn Phalanx Credits only if the Referral joins Phalanx and makes their first Qualifying Purchase through your referral link. If your Referral uses another user’s referral link to join, you will not receive the Phalanx Credits.

4. If you’ve been invited to Phalanx as a Referral

When you complete your first Qualifying Purchase, your Referrer will receive Phalanx Credits in their Phalanx balance and will be notified that the credit is due to a Qualifying Purchase from one of their Referrals. We will not share details about your purchase with the Referrer.

5. Important disclaimers

We reserve the right to suspend your account and remove any granted Phalanx Credits should we notice any activity by the Referrer and/or Referral that is determined to be contrary to the Referral Program terms and conditions, the Phalanx Terms of Service, or our Community Standards. We retain the right to investigate either party’s participation in the Referral Program for any fraudulent activity and take any measures to end their activity in the program and/or on Phalanx. We reserve the right to amend or suspend this Referral Program at any time without notice.

By participating in the Referral Campaign, Referral and Referrer agree to release, discharge, indemnify and hold harmless the Referral Campaign Entities, X Corp, Facebook, Inc., Instagram, Inc., Tik Tok, Inc., and each of their respective directors, officers, employees, agents, successors from and against any and all claims, liability, costs (including attorneys’ fees), losses, damages, fines or injuries (up to and including bodily injury and death) of any kind arising out of or related to: (i) Referral’s and Referrer’s participation in the Referral Campaign; (ii) any acceptance, possession, misuse or use of any Phalanx Credits (including, without limitation, losses, damages or injuries to Referral’s and Referrer’s or any other person’s equipment or other property, or to their persons; (iii) the parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (iv) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Referral Campaign activity and/or Phalanx Credits. Referral and Referrer agrees that the Phalanx shall have no responsibility or liability for discontinued Phalanx Credits; human error; incorrect or inaccurate transcription of registration and/or account information; any technical malfunctions of the telephone or data network, computer online system, computer dating mechanism, computer equipment, software, social media platform, or Internet service provider utilized by Phalanx or Administrator; interruption or inability to access any website, application or online service via the Internet due to hardware or software compatibility problems; any damage to Referral’s and Referrer’s (or any third person’s) computer or mobile device and/or its contents related to or resulting from any part of the Referral Campaign; any lost/delayed data transmissions, omissions, interruptions, viruses, bugs, defects, delay in delivery or misdelivery of mail by the United States Postal Service; and/or any other errors or malfunctions, even if caused by the negligence of the Phalanx. Each Referral and Referrer further agrees to indemnify and hold harmless the Phalanx from and against any and all liability resulting or arising from the Referral Campaign and to release all rights to bring any claim, action or proceeding against Phalanx and hereby acknowledge that the Phalanx have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Phalanx Credits, including express warranties provided exclusively by a Supplier that may be sent along with a Phalanx Credits. Phalanx is not responsible for any changes or unavailability of the internet service provider or the social media platform used for purposes of administering this Referral Campaign that may interfere with the Referral Campaign (including any limitations, any restrictions, or any conditions on Phalanx’s ability to use the website or social media platform for the Referral Campaign as set forth herein that are not acceptable to Phalanx) or ability of Referral and Referrer to timely enter, receive notices, or communicate with Phalanx via email, in which case Phalanx, in its sole discretion, may terminate or modify the Referral Campaign.

LIMITATIONS OF LIABILITY 

Administrator and Phalanx reserve the right, in their sole discretion, to modify, terminate or suspend this Referral Campaign (or any portion thereof) for any reason, including, but not limited to, viruses, worms, bugs, fraud, technical failures, non-authorized human intervention, or other causes corrupt or impair the administration, security, fairness or proper play of the Referral Campaign (or any portion thereof) or for any other reason and, in the event of termination at its discretion, select winners from those eligible, non-suspect entries received prior to event requiring such termination. Neither Phalanx nor Administrator assumes responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any wireless mobile device, wireless telephone network, wireless signal coverage or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Phalanx on account of technical problems, human error or traffic congestion on the Internet, unavailability of the data provider, website, microsite, internet service provider, social media platform(s) used for purposes of administering this Referral Campaign that may interfere with the Referral Campaign or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Referral Campaign or downloading any materials in this Referral Campaign. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE REFERRAL CAMPAIGN IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE Phalanx RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute over the identity of a Referral and Referrer, entry will be deemed submitted by the registered account holder of the email address and/or mobile phone number associated with the entry, provided that person is eligible. Phalanx Credits Winner(s) may be required to show proof of being the registered account holder.

“Registered account holder” is defined as the person assigned to an email address by an Internet access provider, an organization responsible for assigning email addresses for the applicable domain, or to the responsible party associated with the account connected to the mobile number. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Phalanx’s satisfaction, at its sole discretion, the affected entry will be deemed ineligible. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules and/or other instructions of Phalanx may be disqualified.

USE OF DATA 

All information submitted by Referral or Referrer will be treated according to Phalanx’s privacy policy, available at https://www.phalanx.io/privacy. By participating in the Referral Campaign and providing your email address and/or mobile phone number Referral and Referrer hereby agree to Phalanx’s collection and usage of their personal information and acknowledges that they have read and accepted Phalanx’s Privacy Policy.
